Welcome to the website of Savvy Ventures Inc., a Delaware Corporation and subsidiary of Budget Savvy Inc. a Tennessee Corporation (hereinafter referred to as β€œCompany”, β€œwe”,β€œus”, or β€œour”). These Terms of Service and Use (β€œTerms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (β€œyou”, β€œUser”, β€œyour”) and Company, concerning your access to and use of our website, mobile applications, products, and services offered on or through The Savvy Wedding Guide, located at https://thebudgetsavvybride.com/directory and associated mobile apps (collectively, the β€œDirectory”).

The Savvy Wedding Guide is a premier wedding vendor directory platform where wedding professionals can market their businesses to couples, facilitating connections and showcasing services. However, we act as a neutral venue and merely host content provided by users. While we may facilitate transactions between wedding professionals and couples, we are not a party to any agreement made between users on our Directory and assume no liability for these interactions.

Your interaction with us, be it as a wedding vendor, browser, engaged couple, subscriber, or any other user, is subject to these Terms. By accessing or using our Directory, you consent to both these Terms and our Privacy Policy. If you disagree with any conditions in either document, please refrain from using our Directory and services.

We reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Definitions

  1. Services - encompasses all offerings provided by Company, including but not limited to the online directory, vendor and product listings, forums, and any other interactive platforms or features.
  2. Products - refers to any tangible goods or digital assets recommended or listed on Directory, which might be provided by Vendors for Visitors to purchase or use.
  3. Vendor - denotes an individual, company, or entity listed on Directory offering products or services related to weddings.
  4. Users - refers to all individuals and entities who access, visit, browse, or otherwise interact with Directory, including but not limited to visitors, vendors, and any other individuals who browse the site, irrespective of whether they have created an account or registered on the Directory.
  5. Vendor-Data - encompasses all data and information directly provided by the Vendor, including but not limited to business details, product specifications, pricing, and promotional content.
  6. Visitor-Data - encompasses all data and information provided by Visitors, including but not limited to personal details, event dates, preferences, and feedback.
  7. Third-Party Products - denotes any external products or services that might be integrated with or used in conjunction with the Directory.
  8. Subscription - refers to the commitment by Vendors to a membership in The Savvy Wedding Guide. The Savvy Wedding Guide offers various Subscription membership plans depending on the term and services.
  9. Subscription Period - denotes the agreed duration for which a Subscribing Vendor commits to a plan on The Savvy Wedding Guide. The Subscription Period commences on the date of activation and expires at the end of the term agreed upon unless renewed.
  10. Order - refers to the formal written or electronic request made by a Vendor to avail of a Subscription plan or service from The Savvy Wedding Guide. The Order outlines specific details including, but not limited to, the type of Subscription or service, the fees associated, the duration of the Subscription, and any other pertinent terms or conditions related to the purchase.

1. International Users

The Directory is owned and operated in the United States. We welcome users from countries outside of the United States to access the Directory and Services. If you reside outside of the US, you are responsible for compliance with local and federal laws (including compliance with Global Data Protection Regulation or β€œGDPR” if you reside in the European Union or β€œEU”).

We reserve the right to deny access to the Directory for IP addresses from any prohibited countries for any purpose or reason.

2. Registration and Accounts

  1. Registering Your Account - To access certain features of the Directory, you may need to register an account on the website. To register, you must complete our online registration form, which requests specific information and data (β€œRegistration Data”). By registering, you agree:

    1. All provided information in the Registration Data is true, accurate, current, and complete.
    2. You will maintain and promptly update the Registration Data as necessary to keep it up-to-date.
  2. Use of Your Registration Data - You grant us the right to disclose to third parties specific Registration Data about you. The information we gather through your use of this Directory, including your Registration Data, is subject to our Privacy Policy, which is specifically incorporated by reference into these Terms of Use.

  3. Eligibility - You represent that you are:

    1. At least eighteen (18) years old.
    2. Of legal age to form a binding contract.
    3. Not a person or company barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction.

    You commit to monitor your Account to restrict its use by minors and accept full responsibility for any unauthorized use of the Directory or the Services by minors.

  4. Account Integrity - If you provide any information deemed untrue, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect such, we reserve the right to suspend or terminate your Account and refuse any current or future use of the Directory and/or the Services. You pledge not to create an Account using false information or on someone else's behalf. Creating multiple accounts or using the Directory after being banned or removed is prohibited. We reserve the right to remove or reclaim any usernames for any reason, including claims by third parties that a username infringes on their rights.

  5. Activities Under Your Account - You are responsible for all activities occurring under your Account. Any use of your credit card or other payment instruments by minors remains your responsibility. You must keep your Account and password confidential. You commit to:

    1. Inform us immediately of any unauthorized use of your password or any breach of security.
    2. Exit from your Account at the end of each session

3. Limitations of Use

By using our Directory and Services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on our Site;
  • remove any copyright or other proprietary notations from any materials and software on our Site;
  • transfer the materials to another person or "mirror" the materials on any other server;
  • knowingly or negligently use this Directory or any of its associated services in a way that abuses or disrupts our networks or any other service Savvy Ventures Inc. provides;
  • use our Directory or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
  • use our Directory or its associated services in violation of any applicable laws or regulations;
  • use our Directory in conjunction with sending unauthorized advertising or spam;
  • harvest, collect, or gather user data without the user’s consent; or
  • use our Directory or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

4. Intellectual Property

The Site, its entire contents, features, functionality, and the intellectual property inherent in them (including but not limited to its design, text, graphics, images, video, audio, source code, software, data, applications, and any logos, marks, or other content) (collectively, the β€œDirectoryIP”) are owned by Savvy Ventures Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, moral rights, and other intellectual property or proprietary rights laws.

Savvy Ventures Inc. grants you a limited, non-transferable license to use the Directory for your personal, non-commercial use only. You may not access, reproduce, copy, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, rent, license, or otherwise exploit any part of the DirectoryIP, without our express prior written consent. This restriction includes any automated or systematic collection of data from the Site. You must respect all copyright, trademark, and other intellectual property rights contained in the original material or any copy you make of the DirectoryIP. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by The Savvy Wedding Guide at any time.

Any feedback, comments, suggestions, ideas, or other submissions you provide regarding the Directory or its content shall be deemed to be non-confidential, and Savvy Ventures Inc. shall be free to use, disclose, reproduce, license, or otherwise distribute, and exploit these submissions as it sees fit, without any obligation or restriction based on intellectual property rights or otherwise.

5. Fees and Payment

  1. Payment for Services - To access the services provided by Savvy, you are required to make a payment. By opting into our fee-based program, you expressly and irrevocably authorize us to debit any due amounts from the account or payment method you have specified. It is your responsibility to maintain a valid, non-expired payment method on file with us during your engagement with our services.
  2. Billing - You are responsible for settling all fees associated with the services and any applicable taxes in a timely manner using a valid payment method. All fees and charges are nonrefundable and are quoted in U.S. Dollars. For any changes in payment method, validity, or other concerns, contact our support team.
  3. Unpaid Fees - Should there be any fees not received by us for any reason, you agree to settle such fees promptly. We may charge interest on unpaid balances at a rate of 2.0% per month or the maximum allowed by law. Payments will first be applied to the most recent fees owed. We retain the right to take any legal actions or remedies for any outstanding amounts.
  4. Payment Errors - We hold the right to rectify any processing errors we identify. This may involve debiting or crediting the payment method used. Discrepancies related to payment errors made by users will need to be resolved among the involved users.
  5. Third-party Payment Processors - Payments made through Savvy may be processed by third-party payment processors. You will be directed to the processor's terms of use and privacy policy when making a payment. All payment-related actions are governed by these terms.
  6. Obligations and Services - You, and not Savvy, are responsible for providing any services or goods you have agreed upon with another user. If engaging in a transaction with another user, you must abide by any terms set by that user. Your obligations are to that user unless stated otherwise in our Terms.
  7. Account Charges - All charges made under your account, either by you or any user of your account, are your responsibility. If payments are overdue or fail, we may use various methods to collect the owed fees. Failure to settle dues might result in account deactivation.
  8. Payment Authorization - You provide us explicit authorization to charge or debit any due amounts from the chosen payment method. The vendor will bear any fees associated with payment processing.
  9. Vendor Membership Renewal - Memberships might renew automatically for consecutive periods unless stated otherwise. To prevent automatic renewals and associated charges, you must cancel your subscription before the renewal date. You can cancel by contacting our support team. If enrolled in a periodic payment plan and you cancel, you might continue to be billed until the end of the original term. Membership renewal rates may be subject to change, but notice will be provided before the next billing cycle.

6. Vendor Listings and Third-party Sites

Company provides a platform where Vendors can manage their own directory listings and memberships. By using Directory, users acknowledge that we neither control nor supervise the content, representations, or promises made in the Vendor listings or memberships. Each Vendor is solely responsible for the accuracy, completeness, and timeliness of their own listing and related content.

Moreover, Directory contains links to third-party websites that are neither owned nor directly controlled by us. Company does not assume any responsibility for the content, information, products, or services featured on these third-party websites. When you access a third-party website from the Directory, you do so at your own risk. We expressly disclaim liability arising from your use or access to these third-party websites. We neither endorse nor can guarantee satisfaction with products or services purchased from third-party websites linking to or linked from Directory.

It is advised that before making any commitments or purchases on third-party websites or from Vendors listed on Directory, users perform their own due diligence and consider the reliability and reputation of the Vendor or website in question.

7. General Disclaimer

Neutral Venue: The Savvy Wedding Guide operates as a neutral venue and does not endorse, guarantee, or represent any individual service provider or Vendor. Users are responsible for conducting their own investigations, verifications, and due diligence regarding any interaction, transaction, or communication with other members or vendors on our Directory.

Content Purpose: The content presented on Directory is intended solely for informational and entertainment purposes. It should not be understood or construed as a substitution for professional advice related to wedding planning, legal matters, financial planning, or any other professional advice.

8. Term of Agreement

  1. Commencement and Duration: The Terms commence on the date you first use the Directory and will continue in effect until terminated by either you or Company as described below.
  2. Weddings reserves the right to terminate or suspend these Terms at any time without notice if you breach any provision of these Terms or any applicable law or if your conduct harms other Users, Company, or third parties.
  3. Effect of Termination: Upon termination, all rights granted to you under these Terms will cease immediately, and you must cease all use of the Directory and Services. Termination will not affect any of our rights or your obligations which are intended to survive termination.

9. Suspension, Termination, and Remedial Measures

  1. Suspension and Termination Rights - Company reserves the unambiguous right to restrict, suspend, or terminate your access to all or certain parts of the Directory, including any features, sections, or user-generated content. Additionally, we retain the right to remove and dispose of any content, materials, or information you've contributed to the Directory, at any time, for any specific reason, for no particular reason, or when deemed necessary by us, without prior notice or explanation.
  2. Grounds for Suspension or Termination - Activities that may lead to the suspension, termination, or rejection of your participation on the Directory, but are not limited to, comprise: breaches of these Terms; operating more than one account; non-settlement of due fees; attempts, whether directly or indirectly, to unduly sway or manipulate member feedback; engagement in unethical practices, as solely determined by us; or any attempt to harass, intimidate, or engage in inappropriate communications with a Visitor.
  3. Post-Termination Obligations - If your access to the Directory is suspended or terminated, you remain obligated to the Terms that were active at the date of your suspension or termination. Should there be any cessation of your account or these Terms, it is understood and agreed that no refunds or exchanges will be granted for any unused subscription time, any paid fees for any part of the Directory or Services, any content or data linked with your account, or any other elements, unless explicitly stated in the relevant terms.
  4. Vendor Post-Termination Rights - For Vendors, upon termination of your association with Company for any reason whatsoever, we possess the right to retain and showcase all reviews related to your services on our platform. Furthermore, basic directory details such as business name, mailing address, website link, and contact number will continue to be displayed.
  5. Remedies - Violations of these Terms that leverage our Services might invoke various remedial actions which, without limitation, can include: immediate account termination, notifying our Users of your actions, issuing warnings (both private and public), temporarily freezing your account, seeking monetary compensation, and pursuing injunctive relief.

10. Disclaimer of Warranties

The site, its content, the services, and any other services or items obtained through the directory are provided on an "as is" and "as available" basis. neither company nor any associated person or affiliate of Savvy Ventures inc. makes any warranty or representation with respect to the following:

  1. the completeness, security, reliability, quality, accuracy, or availability of the site;
  2. that the directory is accurate, reliable, error-free, or uninterrupted;
  3. that defects on the directory will be corrected;
  4. that the directory or the server that makes it available are free of viruses or other harmful components;
  5. that the site, the services, or any other services or items obtained through the directory will help you achieve certain results; or
  6. that the site, the services, or any other services or items obtained through the directory will otherwise meet your needs or expectations.

To the fullest extent permitted by law, Savvy Ventures inc. hereby disclaims, without limit, for the directory and the services, all warranties of any kind, whether express or implied, statutory, or otherwise, including, but not limited to, any warranties of merchantability, non-infringement, and fitness for particular purpose.

The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

11. Indemnification and Limited Liability

  1. Indemnification
    1. By Vendors - Each vendor agrees to indemnify, defend, and hold harmless Company, its affiliates, representatives, authorized users, owners, employees, agents, and content providers ("Indemnified Parties") from and against any and all claims, causes of action, damages, liabilities, costs, and expenses, including legal fees and expenses, arising out of or related to their use or misuse of the Directory, breach of any provision of these terms, or any reliance upon the contents of this site.
    2. By Users - All users of the Directory agree to indemnify, defend, and hold harmless the Indemnified Parties from and against any and all claims, causes of action, damages, liabilities, costs, and expenses, including legal fees and expenses, arising out of or related to their use or misuse of the Directory or any reliance upon its contents.
  2. Limited Liability - Notwithstanding any other provision in this Agreement, in no event shall Company or its Indemnified Parties be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit damages arising from or in connection with the use of the Directory or its contents. Even if Company has been advised of the possibility of such damages, the total liability of Company and its Indemnified Parties for any cause whatsoever and regardless of the form of the action, will be limited to the amount paid, if any, by you to Company for your use of the Directory and its contents during your term of use.

By using the Directory, you acknowledge and agree to these indemnification and limited liability terms.

12. Governing Law and Jurisdiction

These Terms and Conditions and your use of the Directory and the Services, and all matters arising out of or related to (directly or indirectly) the foregoing (including tort claims), are governed by Tennessee law, without giving effect to its principles of conflicts of law. Subject to the Dispute Resolution provision below, you expressly agree to be subject to the jurisdiction of the state and federal courts located in Tennessee.

13. Dispute Resolution

You understand and agree that prior to taking any legal action, you will first attempt to resolve any issues with the Directory or the Services by contacting us via the channels listed below.

You understand and agree that at Company’s discretion, we may require that any unresolved dispute or claims first be submitted to confidential and binding arbitration under the Rules of Arbitration of the American Arbitration Association in the State of Delaware (without giving effect to its principles of conflicts of law), except in cases involving disputes of intellectual property, interferences of services, or unauthorized handling of a service.

14. Entire Agreement

These Terms and Conditions, together with our Privacy Policy (collectively, the β€œCompany Policies”), contain the entire agreement between you and Company with regard to the Directory and the Services. The Company Policies supersede any prior written or oral agreements between you and Company.Β 

15. Severability

If any provision of these Terms and Conditions shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of these Terms and Conditions is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.Β 

16. Changes and Updates

We reserve the right to make changes and update these Terms and Conditions as needed. We will notify you of any material changes via email or by posting a notice on the Site. We advise you to review our policies from time to time as your continued use of the Directory and/or Services will constitute acknowledgement and acceptance of these policies.Β
